Woodlock Capital operates as a sponsor-side capital markets advisory firm focused on helping experienced real estate operators thoughtfully structure, position, and execute complex transactions. Our role is strategic and advisory in nature. We work alongside sponsors to refine capital stack strategy, evaluate risk-adjusted return frameworks, prepare institutional-quality materials, and align opportunities with prevailing market conditions. We provide capital planning guidance, underwriting feedback, and market intelligence designed to enhance clarity, discipline, and long-term alignment between operating partners and investment capital.
As part of our advisory services, we may facilitate introductions between our sponsor clients and investors with whom we have established professional relationships. These introductions are relationship-based and non-transactional. Woodlock Capital does not solicit investments, recommend securities, negotiate terms on behalf of investors, handle subscription documents, or receive investor funds. We do not provide investment advice to investors, and we do not act as a broker-dealer, placement agent, or investment adviser. All investment decisions are made independently by investors and sponsors, each of whom is responsible for conducting their own due diligence and consulting their own legal, tax, and financial advisors.
Our compensation reflects advisory services provided to sponsors and is not based on investor-specific recommendations or discretionary authority over investment decisions. We operate within a defined advisory scope, focused on strategy, positioning, and relationship facilitation rather than securities intermediation. This structure allows Woodlock to remain selective, independent, and aligned with long-term capital formation principles while respecting the regulatory framework governing securities transactions.
